Mergers and Acquisitions

We offer comprehensive services in connection with M&A transactions, from exploratory due diligence and price negotiation through the consummation of transactions to post-merger matters, advising both foreign and Finnish clients on cross-border transactions. Our experience includes acquisitions and divestures of private and public companies and their businesses, plus LBO and MBO transactions as well as joint ventures.

General Corporate and Company Law

Our team of experienced lawyers provides comprehensive legal advice on corporate matters during the entire life-cycle of an enterprise, advising clients on the structuring of businesses as well as on day-to-day operations. Our general corporate law advice includes the full spectrum of corporate law matters including incorporation of companies, equity restructurings, share emissions, redemption procedures, convertible loans, incentives, shareholders’ agreements, shareholder rights and management liability issues.

Private Equity and Venture Capital

Our scope in the field of private equity, venture capital and other investments ranges from advising on investments in target companies to placements by institutional investors in a variety of investment fund vehicles. We advise private equity, venture capital and other investors on the structuring and execution of equity investments in target companies, often combined with elements of debt and mezzanine financing, as well as on successful exits. Additionally, we assist our clients with post-closing and ancillary arrangements and transactions such as SHA's, management incentives and re-financing rounds. Our instructions in this field range from share acquisitions of industrial companies to early round-seed financing of startups. In addition to targeting company investments, we continuously advise on placements in investment vehicles such as hedge, private equity and other investment funds, with particular focus on serving institutional clients such as banks and insurance companies.

In conjunction with our other practice areas, we also advise on all matters related to securities markets, including IPO's, tender offers, announcement obligations as well as insider regulations and regulatory matters.
