DLA Piper’s global finance team has published the Global Asset-Based Lending Guide 2026, providing an overview of the legal frameworks and structuring considerations relevant to asset-based lending (ABL) transactions across 20 jurisdictions worldwide.

The global ABL market continues to expand and has now surpassed USD 1 trillion, reflecting growing demand for flexible, collateral-driven financing solutions among multinational borrowers and lenders.  Asset-based lending is increasingly used to unlock liquidity from operational assets such as receivables, inventory and equipment.

Despite its growth, cross-border ABL transactions often involve complex legal considerations. Differences in insolvency regimes, collateral creation and perfection requirements, and enforcement mechanisms can materially affect the structure of a financing and the level of protection available to lenders. The guide is designed to help funders, intermediaries and corporates navigate these issues when structuring cross-border ABL facilities.

The 2026 edition includes new jurisdiction coverage for the United States, Canada and Ireland, and introduces concise jurisdiction snapshots that provide a quick overview of the key legal considerations relevant to ABL transactions in each market.

DLA Piper’s Helsinki team contributed to the global publication, with our partner, co-Head of Finance Kristiina Hirva participating in the preparation of the Finland chapter.

“As cross-border financing structures become more common, understanding how security interests are created, perfected and enforced in different jurisdictions is increasingly important for lenders and borrowers alike,” says Hirva. “Our Finland chapter outlines key considerations for structuring ABL facilities under Finnish law.”

Key takeaways from the guide

Kristiina Hirva highlights three key observations from the Global Asset-Based Lending Guide 2026:

ABL continues to expand globally

Companies increasingly use receivables, inventory and other operational assets as collateral to access flexible financing structures in changing market conditions.

Cross-border transactions require careful legal structuring

Differences in insolvency regimes, collateral enforceability and lender protections can significantly affect deal structures and risk allocation.

Local legal frameworks remain critical

Rules governing security creation, perfection and enforcement vary significantly between jurisdictions, making local legal insight essential when structuring international ABL transactions.

The guide offers a practical overview of legal considerations relevant to asset-based lending transactions worldwide and serves as a useful reference for lenders, corporates and intermediaries involved in cross-border financing.
